The answer depends on the company&#8217;s objectives, expected business volume, and desired tax treatment.<\/p>\n\n<p><strong>The limited liability company (SRL)<\/strong><\/p>\n\n<p>The SRL is the most widely used corporate form among foreign companies establishing a presence in Italy. It is an independent legal entity, separate from the parent company, with liability limited to the capital contributed. The minimum share capital is one euro, although in practice a contribution of at least \u20ac10,000 is advisable to ensure operational credibility.<\/p>\n\n<p>From a tax perspective, the SRL is subject to IRES (corporate income tax) at 24% and IRAP (regional tax on productive activities), generally at 3.9%. Its purpose is exclusively promotional and market research. It is not subject to IRES or IRAP, but costs incurred are not tax-deductible in Italy.<\/p>\n\n<p>It is suitable for companies wishing to test the Italian market or maintain a limited commercial presence before making a more substantial commitment.<\/p>\n\n<p><strong>Which structure to choose?<\/strong><\/p>\n\n<p>There is no universal answer: the choice depends on the company&#8217;s strategy, the type of activity to be conducted in Italy, and the tax implications to be managed.
